Applicable to all services provided by Mémoire

In these Terms & Conditions, the following definitions apply:
These Terms & Conditions apply to all offers, agreements, and services of Mémoire. By using the Service, the User accepts these terms.
Deviations from these terms are only valid if agreed in writing with Mémoire.
All offers by Mémoire are non-binding and may be revoked at any time. An agreement is formed when the User registers and accepts the applicable terms.
Mémoire reserves the right to refuse a registration without stating reasons.
Mémoire offers the following subscription types:
Mémoire reserves the right to change prices. Price changes will be communicated at least 30 days in advance. In the event of a price increase, the User has the right to cancel the subscription before the new price takes effect.
Payments are processed via the offered payment methods, including Stripe. Payments are billed in advance for the applicable subscription period.
In the event of late payment, Mémoire is entitled to (temporarily) suspend access to the Service.
Subscriptions renew automatically unless the User cancels before the end of the current period via the subscription settings.
The Service may only be used for lawful purposes and in accordance with these terms. It is prohibited to:
The User is responsible for content uploaded by guests through their event. Mémoire enforces a maximum file size of 25 MB per photo and does not accept executable files or videos.
Photos uploaded by guests remain the property of the respective photographers (the guests). By uploading, the guest grants Mémoire a limited licence to store, display, and make the photos available to the relevant User.
Mémoire claims no ownership rights over content uploaded by Users or guests. The User warrants that uploading content does not infringe any third-party rights.
The platform itself, including the software, design, and branding of Mémoire, is and remains the exclusive property of Mémoire B.V.
Mémoire processes personal data in accordance with applicable laws and regulations, including the General Data Protection Regulation (GDPR). For more information, please refer to our Privacy Policy.
Mémoire will make every reasonable effort to fulfil the storage and access periods stated for each paid subscription plan (Basic: 1 year; Premium: 1 years including backup). These obligations are fulfilled on a best-effort basis. Mémoire cannot guarantee uninterrupted availability at all times and is not liable for temporary outages.
To the maximum extent permitted by applicable law, Mémoire's total liability to a User for any loss or damage — including loss of photos — is limited to the total amount paid by that User to Mémoire for the relevant subscription in the twelve months preceding the event giving rise to the claim.
For Users on the free plan, Mémoire provides the service on an "as-is" basis without any warranty of availability or data retention, and no liability is accepted for loss of data.
Under no circumstances is Mémoire liable for:
Mémoire is not liable for any failure to fulfil its obligations caused by circumstances beyond its reasonable control, including but not limited to: failures by third-party hosting providers, power outages, natural disasters, cyberattacks, or changes in applicable law.
Mémoire may suspend access to the Service or terminate the agreement if:
Upon termination of the subscription, uploaded photos will be deleted after 90 days unless the User has downloaded them beforehand.
Mémoire reserves the right to amend these Terms & Conditions. Registered Users will be notified by email of material changes. Continued use of the Service after the effective date of the changes constitutes acceptance of the amended terms.
These Terms & Conditions and all agreements with Mémoire are exclusively governed by Dutch law. Disputes will be submitted to the competent court in the district where Mémoire B.V. is established.
